We represent businesses, financial institutions and other
clients in connection with a variety of debt and equity financing
transactions, including conventional credit facilities, venture
capital transactions, leveraged and management buyouts, asset-based
and other secured loans, industrial development and other
public financing, public offerings, private placements and
other alternatives for raising equity capital. Additionally,
we represent banks and borrowers in loan transactions and
structure complex debt and equity financing for corporate
acquisitions, as well as represent local authorities, trustees,
and underwriters in the issuance of tax-exempt bonds to fund
municipal projects. We assist new ventures and guide established
businesses through the challenging process of an initial public
offering or private placement. Our attorneys have assisted
numerous clients in the evaluation of proposals from investment
banks, the negotiation of the complex terms of such engagements
and the management and oversight of the relationship with
those investment banks. We deal with the often complex federal
and state laws and agencies regulating the issuance of securities.
Our attorneys advise clients on statutory and regulatory compliance
in all aspects of public and private securities offerings
(including disclosure statements and periodic reports). Although
some of Kleinbard Bell & Brecker's clients are public companies
that require ongoing counseling on securities law compliance,
the broad reach of the securities laws impacts almost all
business transactions including those involving private companies.
Our attorneys have a broad range of experience in obtaining
blue-sky clearance for private placement transactions and
the ways in which offerings can be structured to minimize
the time and attendant expense of complying with state and
federal securities regulations.
