Electronic Security Alarm Group

Our electronic security alarm group has substantial experience representing electronic security alarm and life safety providers throughout the United States. Our experience includes counseling start-up entities on issues relating to entity formation, structure and financing, providing on-going advice and guidance to established national service providers and representing buyers and sellers in numerous mergers and stock and asset acquisitions. In addition, what we bring to these transactions is our extensive knowledge of the industry and an understanding of how to get the best possible result for our client, whether seller or buyer.

We also represent sellers in identifying, qualifying and pursuing acquirers in the industry through a thorough understanding of market dynamics affecting the electronic security alarm and life safety industries, the players (buyers, lenders, venture capitalists and others), the prevailing deal metrics and what sellers must do to obtain the best possible purchase price for their company. Indeed, we believe we have been successful in obtaining some of the highest multiples of recurring revenue paid by acquirers in the marketplace in the past several months!

We also have substantial experience in industry related commercial litigation including the litigation of trade secrets, unfair competition, restrictive covenants, breach of contract disputes, insurance coverage disputes, dealer agreements, controversies arising out of acquisition agreements and disputes respecting acquisition-related performance guarantees and holdbacks.

We have also represented numerous industry clients in tort and casualty cases including the defense of significant wrongful death, personal injury and property damage cases arising from fires and intrusions. For example, we have handled significant multi-party mass tort litigation arising from fire cases where the alarm company is alleged to have caused some portion of a plaintiff's loss. We are also often asked to direct pre-claim investigations and to manage the defense of significant matters with the assistance of local counsel.

Industry Trade Associations

Our commitment to industry causes is extensive. We currently serve as counsel to the New Jersey Burglar and Fire Alarm Association ("NJBFAA") and the New York Burglar and Fire Alarm Association ("NYBFAA"). Our attorneys have served as counsel to the Pennsylvania Burglar and Fire Alarm Association ("PBFAA") and the Southeastern Pennsylvania Chapter of the American Fire Alarm Association ("AFAA"). We are also an active member of the Central Station Alarm Association ("CSAA"), serving on its legal and education committee. Our attorneys also frequently speak to a number of industry trade groups.
