Merger and Acquisition Litigation

Our litigators have successfully represented buyers and sellers in various disputes resulting from merger and acquisition transactions. For example, our attorneys have successfully defended a client against a $2.5 million claim for miscalculation of payments under a merger agreement. Our attorneys also obtained a $16 million verdict for a seller where the buyer disputed payments required by the auditor's post-closing purchase price adjustments. We represented a client in litigation resulting from the failed acquisition of a restaurant chain, securing a significant settlement for the disappointed buyer after the seller failed to close. Conversely, we defended a client against a claim by a disappointed seller trying to enforce a letter of intent favorably settling the case for nuisance value.
