Our attorneys advise clients on the tax implications of contemplated
business transactions, including acquisitions, divestitures
and business restructuring. We represent clients in tax audits
and appeals at the federal, state and local levels, as well
as in litigating tax disputes. When appropriate, our business
attorneys will obtain advance rulings from the Internal Revenue
Service to ascertain the tax results of a proposed transaction.
We will advise our clients as to the individual income tax
ramifications of a variety of transactions. We counsel our
clients on employee benefit programs. Our attorneys are experienced
in establishing, qualifying, advising, administering and terminating
a variety of benefit programs, including profit-sharing, money
purchase pension, defined benefit pension, target benefit,
individual stock option plans, 401(k) and employee stock ownership
plans, executive fringe benefit arrangements, as well as non-qualified
deferred compensation arrangements and various welfare benefit
plans. We also represent numerous pension and welfare plans
which are jointly administered by employer and union trustees
in accordance with the Taft-Hartley Act.
